‘REPAIR CHALLENGE’ CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT AFFECT YOUR CHANCES OF

WINNING. THIS CONTEST IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF THE 50

UNITED STATES, WASHINGTON, D.C., AND WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AT THE TIME

OF ENTRY. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. VOID WHERE

PROHIBITED BY LAW.

 

CONTEST SCHEDULE:

Entry Period: May 1, 2025, at 12:00 AM Pacific Time (“PT”) through July 13, 2025, at 11:59 PM PT (“Entry Period”).

The Entry Period consists of two (2) phases (each, a “Phase”, collectively, the “Phases”) as set forth in the chart below:

In all cases, the computer of Administrator (as defined below) is the official timekeeping device of this Contest.

ELIGIBILITY: The Repair Challenge Contest (“Contest”) is open only to legal residents of the 50 United States and Washington, D.C.

who are eighteen (18) years of age or older at the time of entry (“Entrant”). Employees and the immediate families, spouses and parents,

in-laws, siblings and children and their respective spouses, regardless of where they reside, and members of the same household of such

employees (whether or not related) of WD-40 Company (“WD-40 Company” or “Sponsor”); and companies involved in the

implementation and execution of this Contest (collectively, the “Contest Entities”) are not eligible to enter or win the prize. Contest is

void in Puerto Rico, U.S. territories and jurisdictions (including overseas military installations) and where prohibited by law.

AGREEMENT TO THE OFFICIAL RULES: By participating in this Contest, each Entrant fully and unconditionally agrees to and

accepts these “Official Rules” and the decisions of Sponsor, which are final and binding in all matters related to this Contest. Winning

a prize is contingent upon fulfilling all requirements set forth herein.

ENTRY SUBMISSION: During the Submission Phase, eligible individuals may enter this Contest without having to purchase anything

by visiting repair.wd40.com during the Submission Phase and completing the free online entry form in accordance with the instructions

provided, including the submission of photographic (or video) documentation of your project showing the repaired item and a detailed

written description of the steps taken to repair and item and not replace it (“Submission”). All required fields on the online entry form

must be completed. Incomplete entries will not be accepted and will be automatically rejected. Entrants must be the registered subscriber

of the email account from which the entry is made. By submitting your entry, you agree that the Submission conforms to the guidelines

and content restrictions set forth above and that Sponsor, in its sole discretion, may remove the Submission and disqualify you from this

Contest if it believes, in its sole discretion, that the Submission fails to conform to such guidelines and restrictions.

By entering, Entrants represent and warrant that the Submission:

1• Is their own original creation(s);

• Does not infringe any other person’s or entity’s rights; and

• Has not been submitted previously in a contest or promotion of any kind.

Entries must be submitted by the original creator. Submission created by someone other than you but submitted by you will be

disqualified. You must be the sole owner of the copyright of any Submission submitted. Your submission of each Submission is your

guarantee that you are the author and copyright holder of such Submission.

By entering, Entrants grant a non-exclusive, worldwide, royalty-free, perpetual license to the Sponsor to edit, adapt, make derivative

works from, broadcast, publish and otherwise use any or all of the descriptions and/or photo(s) and/or video(s) included with Submission,

and may use them for advertising, promotional and/or any other purpose in any and all media now or hereafter devised worldwide in

perpetuity without additional compensation, notification or permission, unless prohibited by law. By entering this Contest, Entrants

agree to have their submitted Submission used and displayed, either in part, singularly or in combination with others and in any size, on

Sponsor’s website and on the websites, social media, and print materials of Sponsor without any fee or other form of compensation due

at any time for so long as desired by the Sponsor. Credits, descriptions or titles, if any, used with the photo(s) and/or video(s) in the

Submission are in Sponsor’s sole discretion. In the event that ownership of any photo(s) and/or video(s) in the Submission submitted

is challenged in any manner by any person, Sponsor may disqualify that Submission and will discontinue use of the Submission.

Online access and an email account are required in order to participate in this Contest. Many public libraries, retail businesses and others

offer free access to computers and a number of Internet service providers and other companies offer free email accounts.

ENTRY RESTRICTIONS: There is no limit on the number of entries, however, only one entry per project and each project entered

must be unique. Each Entrant must submit on behalf of oneself and not use another person’s email address to enter. Violation of this

limit (e.g., submission of duplicative project entries) will result in voiding of all entries after the initial entry. All entries, including

photo(s) and/or video(s) submitted as a part of the Submission, become the property of Sponsor, and none will be acknowledged or

returned. Automated entries (including but not limited to entries made using any script, macro, bot, or sweepstakes service) will result

in disqualification and all entries by such person shall be void. In the event of a dispute over the identity of an Entrant, entry will be

deemed made by the authorized account holder of the email address provided on the entry form. The authorized account holder is the

natural person who is assigned to the email address by an Internet access provider, online service provider, or other organization that is

responsible for assigning email addresses or the domain associated with the email address in question. Contest Entities are not liable for

incomplete, corrupted, garbled, defective, inaccessible, irregular, lost, late or misdirected entries, regardless of cause, including without

limitation, videos that cannot be opened or viewed by Sponsor for any reason. No third-party entry or entry through sweepstakes service

permitted. Any individual who attempts or otherwise encourages, directly or indirectly, the entry of multiple or false contact information

under multiple identities, multiple email accounts, or uses any device or artifice to enter or encourage, directly or indirectly, multiple or

false entries, as determined by Sponsor, will be disqualified. If, in Sponsor’s opinion, there is any suspected or actual evidence of

electronic or non-electronic tampering with any portion of this Contest, or if a computer virus, bug, unauthorized intervention, fraud,

technical difficulties, or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of

this Contest, and/or this Contest is not capable of being conducted as described in these Official Rules, Sponsor shall have the right, at

its sole discretion, to disqualify any individual who tampers with the entry process and to void any entries submitted fraudulently, and/or

to cancel, terminate, modify or suspend this Contest, and conduct a random drawing to select the prize winner from all non-suspect

entries received prior to action taken, or as otherwise deemed fair and appropriate by Sponsor.

SELECTION OF WINNERS; ODDS: Winners will be determined via the process set forth below.

Odds of winning will depend on the total number of valid entries received during the Submission Phase.

Judging of entries will be based on the following:

25% for video content,

20% for content showcasing the before AND after condition of the project/item repaired,

20% for content clearly showing the item(s) repaired,

15% for showcasing a WD-40® Brand product in use,

10% for a description of the project clearly identifying the steps taken to repair, and

10% for overall quality of the content.

All judging decisions are final.

WINNERS NOTIFICATION: The winner will be notified by email as provided by Entrant and will be required to complete and return

an Affidavit of Eligibility and Liability/Publicity Release (“Affidavit and Release”), and any other additional documents requested by

Sponsor within three (3) days of receipt or such shorter time as may be indicated in the prize notification documents. In the event of

noncompliance with this requirement and/or if a potential winner cannot be contacted by Sponsor, the prize will be forfeited, and an

alternate winner will be selected by judges from the remaining eligible entries. Without limiting the foregoing, Entrants understand and

agree that winner’s signature on the Affidavit and Release (or other documents) in electronic form shall have the same legal force and

effect as a hand-signed paper copy of same.

PRIZES:

1. One (1) grand prize of a $5,000 will be awarded.

2. One (1) second place prize of $3,500 will be awarded.

3. One (1) third place prize of $2,000 will be awarded.

4. Four (4) fourth place prize of $500 Lowe’s gift card will be awarded.

5. Three (3) fifth place prize of $250 Lowe’s gift card will be awarded.

6. Thirteen (13) sixth place prize of a WD-40 Branded Carhartt® Tool Bag. (approximate retail value $54 each)

Individuals with multiple projects and multiple entries are eligible to win more than once. Lost or stolen prize(s) will not be replaced.

No assignment, transfer, conversion to cash or cash redemption or substitution of the prize is permitted, except Sponsor reserves the

right to substitute the prize with a prize of comparable or greater value should the prize become unavailable. All prize details are at the

sole discretion of Sponsor. The winner agrees to accept the prize “as is”, and Entrants hereby acknowledge that Sponsor has neither

made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law,

relative to the prize, including express warranties (if any) provided exclusively by a prize supplier that are sent along with the prize.

3Total approximate retail value of all prizes is $15,052. Any valuation of the prize(s) stated above is based on available information

provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The winner(s)

will be solely responsible for all applicable state, federal, and local taxes associated with the acceptance and use of any awarded prize.

Each Entrant acknowledges that Sponsor shall not be required under any circumstances to award more prizes than the number of

available prizes as set out in these Official Rules.

GENERAL CONDITIONS: Sponsor and its agencies make no representation or warranty of any kind, including but not limited to the

representation of merchantability or fitness for intended use, with regard to any elements of the prize(s). Neither Contest Entities nor

any service providers are responsible for incorrect or inaccurate transcription of entry information, or any human or other error, technical

malfunctions, lost/delayed data, omission, interruption, deletion, defect, failures of any computer equipment, software, inability to access

any online service or website (including the Contest Website), or any injury or damage to Entrants’ computer or mobile device related

to or resulting from participation in this Contest. CAUTION: ANY ATTEMPT BY ENTRANT OR ANY OTHER INDIVIDUAL TO

DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, DEFRAUD SPONSOR, OR

OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL

AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN

THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT

PERMITTED BY LAW. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any

reason this Contest or any part of it is not capable of being executed as planned, or infection by computer virus, bugs, tampering,

unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which, in the opinion of Sponsor, corrupt or

affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at its sole discretion

to cancel this Contest and/or any part of it and not award any of the prize(s) referenced herein. In the event of any cancellation,

termination or suspension, notice thereof will be posted on the Contest Website. Entries not complying with all rules are subject to

disqualification.

RELEASE: By participating in this Contest, each Entrant fully releases Contest Entities and their respective directors, officers, agents

and employees, from any and all liability for any actions, claims, costs, debts, expenses, fees, injuries, losses or damages of any kind

arising out of or in any way related to the Entrant’s participation in this Contest (“Claims”). This Release expressly applies to all claims,

costs, fees, injuries, losses or damages of any kind relating to or arising out of unauthorized access to, or disclosure of, any personally

identifiable information supplied by the Entrant during the course of this Contest as well as the acceptance, possession, use, or misuse

of the prize(s) and, if selected as a potential winner, Entrant agrees to sign and deliver the Affidavit and Release before receiving his/her

prize.

THE PARTIES AGREE, ACKNOWLEDGE AND UNDERSTAND THAT CONTEST ENTITIES SHALL NOT BE LIABLE FOR

INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST PROFIT DAMAGES. THE PARTIES AGREE,

ACKNOWLEDGE AND UNDERSTAND THAT CONTEST ENTITIES’ TOTAL AGGREGATE LIABILITY FOR ANY MATTER

ARISING FROM OR RELATED TO THIS CONTEST, WHETHER IN CONTRACT, TORT, OR UNDER ANY THEORY OF

LIABILITY, SHALL NOT EXCEED THE AMOUNT OF THE ACTUAL OUT-OF-POCKET COSTS INCURRED BY ENTRANT

ASSOCIATED WITH ENTERING THIS CONTEST.

4CALIFORNIA SECTION 1542 RELEASE: By participating in this Contest, each Entrant understands and agrees that he or she is

specifically and expressly waiving any and all rights under Section 1542 of the California Civil Code, or any analogous (in whole or in

part) federal, state or municipal law, rule, regulation or ordinance. Section 1542 provides as follows:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT

KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT IF

KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR

RELEASED PARTY.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of

action arising out of, or connected with, this Contest or the awarding of the Prizes shall be resolved individually, without resort to any

form of class action, and exclusively by the United States District Court for the Southern District of California; and (b) any and all

claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest

but in no event attorneys’ fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these

Official Rules, Entrants’ rights and obligations, or the rights and obligations of Sponsor in connection with this Contest, shall be

governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict

of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any

jurisdiction other than the State of California.

PUBLICITY; GENERAL: Each Entrant grants Sponsor and its designees a perpetual, worldwide, royalty-free license to use,

broadcast, publish and otherwise use Entrant’s name, company name, address of residence, address of company, statements regarding

this Contest, image, photograph, video, voice and/or likeness for advertising, promotional and/or any other purpose in any and all media

now or hereafter devised worldwide in perpetuity without additional compensation, notification or permission, unless prohibited by law.

This Contest and all entries are subject to all applicable federal, state and local laws and regulations. Void where prohibited by law.

ENTRANT'S PERSONAL INFORMATION: Information collected from Entrants is subject to WD-40 Company’s Privacy Policy

and Terms of Use, available at https://www.wd40.com/privacy and https://www.wd40.com/terms-of-use. Information collected from

Entrants may be used in subsequent marketing and promotions at WD-40 Company’s discretion.
